1. Acceptance of Terms
By accessing or using nearshoringx’s website and services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our services. These Terms constitute a legally binding agreement between you and nearshoringx (“nsx,” “Company,” “we,” “our,” or “us”).
2. Description of Services
nearshoringx provides supply chain orchestration, manufacturing coordination, and international trade services, including but not limited to: strategic sourcing and due diligence, market intelligence and risk structuring, production management and logistics, supplier verification, quality control, contract negotiation, and white-label manufacturing support. Our services are designed for business-to-business (B2B) relationships and are provided primarily within the Euromed region and global markets.
3. Eligibility
Our services are intended for use by businesses and authorized representatives of businesses. By using our services, you represent and warrant that you have the authority to bind your organization to these Terms and that you are at least 18 years of age.
4. Service Engagement
Engagement of our services may require a separate written agreement, statement of work, or service contract. In such cases:
- The specific terms of that agreement will govern the services provided
- These Terms of Service will apply to the extent they are not superseded by the specific agreement
- All fees, payment terms, deliverables, and timelines will be specified in the service agreement
5. Client Obligations
When engaging our services, you agree to:
- Provide accurate, complete, and timely information regarding your sourcing requirements, specifications, and business needs
- Cooperate with our due diligence, verification, and compliance processes
- Make timely payments in accordance with agreed terms
- Comply with all applicable laws, regulations, and industry standards
- Provide necessary approvals and feedback within reasonable timeframes
- Maintain confidentiality of proprietary information shared during the engagement
6. Fees and Payment
Fees for our services will be specified in your service agreement. Unless otherwise stated, all fees are due within 30 days of invoice date. We reserve the right to suspend services for accounts with overdue balances.
7. Intellectual Property
All content on our website, including text, graphics, logos, and software, is the property of nearshoringx and is protected by copyright, trademark, and other intellectual property laws. Market intelligence reports, analyses, and methodologies developed by us remain our proprietary property unless expressly transferred in writing.
8. Confidentiality
Both parties agree to maintain the confidentiality of proprietary and confidential information shared during the course of the business relationship. This obligation survives the termination of services. Confidential information does not include information that is publicly available, independently developed, or lawfully obtained from third parties.
9. Limitation of Liability
To the maximum extent permitted by law:
- We provide services on an “as is” and “as available” basis
- We are not liable for delays, failures, or disruptions caused by third-party suppliers, manufacturers, logistics providers, or circumstances beyond our reasonable control
- Our total liability for any claim arising from our services shall not exceed the fees paid by you for the specific services giving rise to the claim
- We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or business opportunities
10. Indemnification
You agree to indemnify and hold harmless nearshoringx, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.
11. Force Majeure
Neither party shall be liable for failure to perform obligations due to events beyond their reasonable control, including but not limited to: acts of God, war, terrorism, civil unrest, government actions, natural disasters, pandemics, strikes, supply chain disruptions, or material shortages.
12. Termination
Either party may terminate a service engagement in accordance with the terms specified in the relevant service agreement. We reserve the right to suspend or terminate access to our services immediately if you breach these Terms or engage in fraudulent, illegal, or harmful activities.
13. Dispute Resolution
Any disputes arising from these Terms or our services shall first be addressed through good-faith negotiations between the parties. If negotiations fail, disputes shall be resolved through binding arbitration in Sarajevo, Bosnia and Herzegovina, in accordance with the rules of the applicable arbitration body. The prevailing party shall be entitled to recover reasonable attorneys’ fees and costs.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Bosnia and Herzegovina, without regard to its conflict of law provisions. For international transactions, applicable international trade laws and conventions (such as INCOTERMS and CISG) may also apply.
15. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website with an updated “Last updated” date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
17. Entire Agreement
These Terms, together with any applicable service agreements, constitute the entire agreement between you and nearshoringx regarding the use of our services and supersede all prior agreements and understandings, whether written or oral.
